VisiJet, Inc., ("VisiJet" or "the Company") formerly known as Ponte
Nossa Acquisition Corp ("PNAC"), is a Delaware corporation engaged in thedevelopment and marketing of ophthalmic surgery products for use in the lasereye surgery and cataract surgery markets. The Company was originally incorporated in California on February 2,
1996 as a wholly owned subsidiary of SurgiJet, Inc ("SurgiJet"), a developer ofwaterjet technology for a variety of medical and dental applications. In May
1999, the Company was spun off from SurgiJet through a distribution of commonstock to its shareholders, after which SurgiJet had no remaining ownershipinterest in the Company. In December 2002, VisiJet entered into a merger agreement with Ponte
Nossa Acquisition Corp., a Delaware corporation ("the Merger") that had beenincorporated as a blank check company in 1997. The agreement called for themerger of the two companies into a single company through the merger of anacquisition subsidiary, VisiJet Acquisition Corporation, into VisiJet.
