CDP’s Family Business Package includes everything you need to create a CLOSE CORPORATION. A close corporation allows the shareholders more control over the daily operations of the business (rather than through an elected Board of Directors). This is very common for a family business in which the owners are also the managers of the company. A Close Corporation can do without many of the procedural requirements that regular corporations have to adhere to. This makes it so that the limited liability protection of a corporation is maintained, and thus the possibility of piercing the corporate veil is much less likely.

When refinancing real estate held in a living trust, it is very common for your mortgage company to require you to remove that property from the trust in order to complete the process. But what if something happens to you during the process? CDP can help with this by preparing two deeds for you. The first deed removes the property from your trust, and CDP will send your mortgage company a copy of the deed in order for you to proceed with your refinance. The second deed is held for you until you notify us that the refinance process is complete, at which point we’ll record it for you. Voila! You don’t have to come back in to put the property back in your trust.

Corporations are supposed to follow certain requirements, such as holding an annual meeting of shareholders and an annual meeting of directors. Minutes must be prepared to document these proceedings. The reality is that the owners of many family-business corporations sometimes do not have the time to comply with these requirements, which puts the corporation at risk for losing the limited liability protection it provides to the shareholders. And sometimes it just feels downright strange for a one-man or one-woman corporation to have an Annual Shareholders Meeting. The Close Corporation is designed to relieve the owners of these types of corporations from these requirements.
