The firm represents clients in raising capital in equity financings. Such financings include private placements of convertible notes and preferred securities, and venture capital financings. While these investments often involve companies that are beyond the “seed capital” stage, we also represent companies in early stage “family and friends” placements of common stock. We are familiar and experienced in dealing with companies in early stages of capital formation and help founders to navigate the complex securities laws.

We use the expertise of our attorneys across practice areas to support non-profit organizations of all sizes in achieving their missions. We provide advice and litigation advocacy to non-profits including business associations and organizations providing social services, healthcare, and education.

We have spent years working with manufacturers and we have gained a unique perspective into the concerns of manufacturers. Perhaps you spend your days worrying about exchange rates and whether a competitor is getting the jump on a cutting edge innovation that is important to your business, or struggling with the inability to find enough trained talent for your new-hire needs. Maybe you are wondering whether you can give that customer the preferential pricing the customer is demanding, or why your customer multiple time zones away hasn’t paid and what you can do about it.

Working closely with our client, we develop a strategy to effectively advocate the client’s position and review the costs and benefits of that strategy. The firm’s lawyers have extensive experience in business litigation and have achieved successful results in a broad range of jury and non-jury trials, preliminary injunction hearings and regulatory matters. While we are always prepared to vigorously litigate and try cases, we also work with clients in alternative dispute resolution, including mediation, when appropriate, to achieve advantageous settlements.

For us, working with start-ups is as much about guiding these companies through the many issues that are unique to them as it is about providing legal advice. We work closely with these companies to help them maximize the resources they have, focus on the issues that are most important, and to find effective solutions to best leverage their limited resources.
