Description

1.1 Principal Office. The principal office of the corporation initially shall be at 1330 Glenarm, Denver, Colorado 80204. The corporation may keep and maintain such other offices, either within or outside the State of Colorado, as the board of directors may designate or as the business of the corporation may require from time to time. 1.2 Registered Office. The corporation shall have and continuously maintain in the State of Colorado a registered office and a registered agent whose business office is identical with such registered office. The initial registered office and the initial registered agent are specified in the articles of incorporation. The corporation may change its registered office or change its registered agent, or both, upon filing a statement in the office of the Secretary of State of Colorado, or by otherwise complying with Colorado law as it may apply from time to time. 2.1 Criteria and Procedures for Membership. The corporation shall have seven forms of membership: (1) Active Resident; (2) Active Non-resident; (3) Honorary; (4) Life; (5) Retired; (6) Student; and (7) Guest. No person shall be admitted as a member without such person's consent. Persons may qualify for membership in the corporation pursuant to the following criteria and procedures: 2.1.1 Active Resident. Active Resident members shall live within a radius of 60 miles of Denver who have been employed full-time in the Denver area for atleast two months prior to the date of application for membership: (a) In an editorial or news-gathering capacity on daily, weekly or monthly publications of general circulation, or national wire services, or (b) By the news department of a Denver area radio or television station, or cable or Internet based organization, or (c) Are regularly employed by newspapers or television stations as news photographers, or (d) Those employed in related communications fields, or those who contribute to, or serve the journalism profession within the 60 mile radius of Denver. 2.1.2 Active Non-Resident. Active Non-Resident members shall be those who would qualify as active members if they resided within the radius of 60 miles of Denver. 2.1.3 Honorary. Honorary members may be chosen from among those who are considered eminent in the Humanities, sciences, politics and other related endeavors. Honorary members may be considered at the annual meeting, or at a special meeting, and must be elected by a majority of those Active Resident members present at such a meeting. 2.1.4 Life. Life members may be selected at the discretion of the board of directors from those active members who have: (a) Paid dues continuously for twenty-five (25) years, or (b) Performed an outstanding service to the community or the corporation. Life members will be required to pay yearly dues and shall be subject to any special assessments voted on and approved by the board of directors. 2.1.5 Retired. Any active member or new applicant may request, from the board of directors, retirement status provided that he or she retired from his or her profession. This status shall be granted by a vote of the board of directors. 2.1.6 Student.
