Description

A “related party transaction” is a transaction between the Company and (i) any person who is an officer or director of the Company or (ii) any person or entity that is a Related Party to a person who is an officer or director of the Company. For purposes of this policy, Officers shall be defined as “executive officers” under applicable SEC guidelines.

Pharmaceuticals that target nuclear hormone receptors have been prescribed for over 50 years. Steroids are characterized by a common four-ring molecular structure and activate hormone receptors in a less selective manner.

The pharmaceutical business, especially the approval and sale of pharmaceutical products that are reimbursable under federal or state health care programs, is subject to extensive governmental regulation.

GTx conducts clinical trials to investigate the safety and efficacy of our product candidates. We collaborate with renowned researchers and institutions to design and conduct clinical studies. Data from clinical trials help us understand how our product candidates may help the most appropriate patients in need.

1.6 Term of Board Service. The Company has staggered terms for its Board members because it believes it is the best interest of the Company to have knowledgeable and experienced Board members serving on the Board at all times. Each director will stand for reelection every three years. Term limits for Board membership are not necessary; however, no director should have an expectation of permanent membership.
