If you already run a corporation and want to become Benefit Corporation, you have to amend your Articles of Incorporation, which means getting a majority (usually 2/3) of your shareholders and board of directors to vote in favor of the change. A Benefit Corporation is still allowed to raise money through selling shares, and the business’s owners are provided the same type of limited liability afforded to standard corporations. The only difference is now the corporation is tasked with, and protected while, pursuing a public benefit.
