Business Consulting WestAllen represents small to mid-sized private businesses throughout Texas. The focus of WestAllen’s business consulting practice is to (1) protect the company’s assets, (2) minimize potential liabilities, and (3) put the company in a position to grow. Primarily, we assist with business entity formation, reorganization of existing business, contract negotiations, and dispute resolution. If necessary, we will coordinate assistance from other professional services through our network of service providers, such as banking, accounting, financial planning, employee staffing, and insurance. Business Entity Formation WestAllen advises new companies on all legal issues that confront a new business. During the formation process, we will create founder and investor agreements, as well as design, build, and implement the optimum entity model for the new business. In addition, WestAllen will assist in establishing employee policies and preparing employment agreements. WestAllen will also ensure that the business entities maintain compliance with the Secretary of State and that all corporate formalities are maintained. Reorganization of Existing Businesses As businesses grow, WestAllen counsels our clients on numerous legal issues involving the company’s capital needs as well the needs of its shareholders, owners, and employees. Our services also include planning for death, disability, retirement, and forced withdrawal. In this capacity, we will develop appropriate shareholder agreements, buy/sell agreements, confidentiality agreements, operating agreements, stock purchase and voting rights agreements, and contracts addressing capital needs. Contract Negotiations WestAllen assists our clients with all contract issues. We will review and negotiate a proposed contract or prepare a contract to be proposed by the client. A few examples of contracts that we have negotiated are employment agreements, non-disclosure agreements, service contracts, vendor contracts, and joint venture agreements. Dispute Resolution WestAllen helps our clients find resolutions to the inevitable disputes that arise from time to time in a business. Whether the dispute deals with an important customer of the client, an employee or owner of the client, or a service provider to the client, we focus on addressing the issue early before the problem develops into a lawsuit.
