John D. Keel, Chief Financial Officer, has over 17 years of financial and operational experience in diverse industries including public accounting, financial services, consulting, and retail. He also has experience in marketing, sales, information technology, compliance, billing, credit, and customer care. John’s broad experience, coupled with his entrepreneurial mindset, make him the perfect controller and risk manager. John also serves as an advisor to borrowers and lenders alike, providing guidance on deal generation, capital structure, cash flow, modeling, business case development, and operational excellence. John also assists with counterparty negotiations to ensure good communication and clearly defined terms.

In addition, Tom’s experience enables him to analyze opportunities for both buy-side and sell-side clients and access an extensive network of strategic and financial buyers and sources of capital. Tom has extensive experience in advising on sale, divestiture, buyout, recapitalization and restructuring transactions on behalf of family owned companies, professionally managed companies, and private equity investors. He combines strong deal process capabilities with extensive industry knowledge to orchestrate highly tailored transaction processes.

John began his career as a financial auditor for Ernst & Young where he gained a solid foundation in accounting, reporting, and controls. This experience gave him broad exposure to numerous businesses and allowed him the opportunity to work with senior executives of Fortune 500 companies. John later began his own IT consulting company (Quality Systems Management), which was ultimately merged with a larger company (Epic Data) where he worked for a number of years as a relationship and project manager. John’s experience also includes work in corporate development for LandAmerica Financial Group where he worked on new channel/product launches as well as M&A advisory work. Here John gained first-hand experience in integrating new business with the core business of LandAmerica Financial Group. John was also responsible for managing the product mix for a $600 Million business channel for a TXU Energy, a competitive Texas electric retailer.

Thomas D. Kurtz, Partner, has over 25 years of investment banking and private equity experience. At Keystone, Tom used his extensive knowledge and 22 years of relationships with the premier lending institutions and private equity firms, to provide capital solutions for Keystone clients. This capital may take the form of senior debt, subordinated debt (mezzanine) and/or equity. Tom has worked for financial institutions that have focused both individually and collectively on these capital instruments.

At Keystone, we have refined the sale process. Initially, we develop an extensive list of high quality domestic and international buyers, communicating to our client specifically how their business complements each buyer. Keystone then prepares an accurate, strategically compelling offering memorandum designed to attract sophisticated buyers. Our next step is to contact a broad spectrum of logical buyers, emphasizing our client’s desire for confidentiality, marketing aggressively, yet professionally, to the decision maker. In most cases, Keystone requires a written expression of interest from a potential acquirer prior to a plant visit. These typically include requests for the specific cash amount to be paid; an estimate of the scope and timing for the due diligence; a description of the approval process within the organization; estimated timing for the execution of a definitive purchase agreement; and assurance of financing. After receiving acceptable expressions of interest and with the client's approval, Keystone extends invitations to visit with management at the sale candidate's facility.
