Description
Bernie has extensive experience in developing shopping centers and other commercial developments, from acquisition through permitting, environmental issues, financing, and design and construction. He has represented hospitals, schools, manufacturers, and investors, and has worked with publicly-traded companies, individuals, and small businesses. Bernie has represented both landlords and tenants for significant blocks of space, and has prepared form leases for commercial undertakings.
For our clients whose main assets are copyrightable works, we provide advice and counseling about registration issues and the protection of such rights in the context of employment and contractor arrangements. We represent numerous providers of technology and other design services and have extensive experience negotiating and providing advice about the transfer and retention of IP rights in the context of various contracting arrangements such companies encounter in their business.
We assist our clients in identifying, evaluating, and allocating risk associated with their transactions. When we represent sellers in private equity transactions, we help our clients minimize their liability after the transaction and provide advice and counseling on the often complex investment, employment, and executive compensation issues that affect the senior management of the portfolio companies. When the fund is our client on the buy or sell side, we draw upon our deep experience in strategic M&A to provide practical and knowledgeable representation.
Our lawyers have extensive experience in state and federal court litigation involving trade secrets and restrictive covenants, and employ a comprehensive understanding of the laws and issues governing these topics. We represent our business clients in actions against former employees and principals, or by prospective buyers of businesses, to enforce violations of restrictive covenants; to preserve trade secrets; and to recover damages for any unauthorized violation of nondisclosure agreements or restrictive covenants.
We represent our public and private company clients as well as senior executives in structuring and negotiating employment, change-of-control, separation/severance arrangements, and bonus agreements. Our business lawyers also have significant experience drafting and negotiating the related confidentiality and transfer agreements involving intellectual property disclosed to or created by employees as well as the restrictive covenants necessary to protect our clients' important assets.
