ICTC is a holding company for Lynch Telephone II, LLC, which in turn serves as a holding company for our two operating subsidiaries: Inter-Community Telephone Company, LLC (“Inter-Community”) and Valley Communications, Inc. (“Valley”). Inter-Community is an independent rural local exchange carrier (“RLEC”) serving communities in southeastern North Dakota and providing regulated telephone service. Valley is a competitive local exchange carrier (“CLEC”) that provides internet, broadband data and other non-regulated services.

ICTC Group, Inc. (the “Company” or “ICTC”), formerly Sunshine PCS Corporation, was incorporated in 2000 to hold and develop three 1.9 Ghz PCS licenses covering approximately 960,000 people in the Florida cities of Tallahassee, Panama City, and Ocala. In 2003, these licenses were sold to Cingular Wireless LLC (now AT&T). From 2003 until March 2010, the Company was a holding company that was deemed a shell company under SEC rules.

We provide dial-up internet service, with a local dialing number, to all of our exchanges and also to the city of Valley City.

The decision as to who would service the site was long and painful. The North Dakota Public Service Commission determined that either company could service the site since it would be in ICTC’s service area and Northwestern Bell would be providing the toll service. The final decision would have to be made by the contractor, the United States Government. During the next two years, Nilsen made several trips to Washington, D.C. to appear before Congressional committees and finally, to testify at a Justice Department hearing.

Sometime in 1964, John Nilsen learned from a friend on the West Coast that a military switching center was to be located near Wheatland. Nilsen then contacted the Defense Department about the possibility of ICTC servicing the switching site, as it would be located within the company’s franchised area. At the same time, Northwestern Bell was making plans to service the site and obtained an option to purchase ten acres of land just outside Wheatland. Northwestern Bell would be providing toll service for the switch no matter who serviced the site.
