16.2 Membean reserves the right in its sole discretion to cease or suspend providing all or any part of the Service immediately without any notice to you, if: (a) you breach, or threaten or intend to breach, these Terms; (b) Membean is required to do so under any applicable law, rule or regulation; (c) the Service relies on data, services or another business relationship between Membean and a third party service provider, and such relationship terminates or changes in such a way that affects Membean’ ability to continue providing the Service; (d) continuing to provide the Service could create a substantial economic burden on Membean as determined by Membean in its sole discretion; or (e) continuing to provide the Service could create a security risk or material technical burden as determined by Membean in its sole discretion.

Membean is the sole owner of the information collected on this site or via our products and services. Membean may collect information from you at two different stages. First, we collect anonymous, aggregate information from all visitors to the site and users of our products and services. This information is never linked to any personally identifiable information and is only used in the aggregate to generate statistical reports about the use of our site, products and services. Second, Membean collects personally identifiable information when you, or your school, school district, parent or legal guardian (each, an “Account Creator”), create a Membean account and when you or the Account Creator order Membean products or utilize certain services. Online account creation may require you or the Account Creator to submit the following personal information: name, address, school or school district information, email address, and the following information for students that will access and use Membean products and services: student names, school identification numbers and email address (the “Student Information”).

Use of Your Personal Information Our primary goal in collecting information from you is to provide you with a smooth, efficient and customized experience while using our site and to allow us to provide products and services to you. Membean will never give your information to, or share your information with, any third party not affiliated with or owned by Membean, except as permitted by law.

We store information that we collect through cookies and log files to create a profile of our customers. A profile is stored information detailing how individual customers use the site. Collected information in a profile is tied to the customer’s personally identifiable information. However, your profile is used solely for internal purposes, to help us improve the experience of our customers. We do not share your profile with any third parties.ts’ access to any portion or all of the Service and related Content (as defined below) if Membean reasonably determines that: (a) there is a threat or attack on the Service (including a denial of service attack) or other event that may create a risk to the Service, you or any other Service user; (b) your or your Students’ use of the Service or your Content disrupts or poses a security risk to the Service or any other Service user, may harm Membean’ systems or any other Service user, or may subject Membean or any third party to liability; (c) you or your Students are using the Service for fraudulent or illegal activities; (d) subject to applicable law, you have ceased to continue your business in the ordinary course, made an assignment for the benefit of creditors or similar disposition of your assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution or similar proceeding; (e) you or your Students are using the Site, Service or other Membean property in breach of these Terms; (f) you are in default of your payment obligations hereunder; or (g) there is an unusual spike or increase in your use of the Service (collectively, "Service Suspensions").
