Jeffrey D. Kabot Mr. Kabot has spent the majority of his career specializing in debt and equity financings for middle market companies. Prior to co-founding MezzCap Partners, Mr. Kabot served as a Director with Levine Leichtman Capital Partners, a $1 billion private equity fund that makes subordinated debt and equity investments in middle market companies. Prior to joining LLCP in 2001, Mr. Kabot was a Senior Vice President, Director of Private Placements for Sutro & Company, originating, structuring and marketing private offerings of debt and equity securities. Mr. Kabot began his investment banking career in 1988 with Drexel Burnham Lambert. He continued with Drexel through its reorganization process as part of the workout team managing Drexel’s $3 billion high yield bond inventory. He joined Dabney/Resnick (now Imperial Capital) in 1992 where he specialized in middle market private placements for acquisitions and recapitalizations, before joining Sutro & Company in 1995. Mr. Kabot earned his M.B.A. from the Anderson Graduate School of Management at UCLA, and a B.S. in Economics, magna cum laude, from the Wharton School of the University of Pennsylvania. He recently served as President of the Environmental Affairs Commission for the City of Los Angeles and is a member of the advisory board for the Riordan Program at UCLA. Brian D. MacDonald Mr. MacDonald has spent the majority of his career as a private equity investor and advisor to emerging growth companies. Prior to co-founding MezzCap Partners, Mr. MacDonald co-founded Private Equity Partners, LLC, a Los Angeles based venture capital and private equity firm that sponsored investments in emerging technology and telecommunications companies since 1996. As part of his involvement with these companies, Mr. MacDonald has implemented accounting policies and procedures, chaired audit and executive compensation board committees and administrated stock option programs. Positions held in Portfolio Companies: Chief Executive Officer and Director of Purstream Technologies, Incorporated, a services company focusing on the disinfection of municipal and agricultural runoff of water. Raised additional capital to fund the Company’s initial deployment of its system throughout Los Angeles, San Diego, Orange and Ventura counties. Created a board of prominent technical and business advisors. -President, Chief Executive Officer and Director of Spectrum Communications, Incorporated, an international facilities-based telecommunications carrier, and its wholly-owned subsidiaries Q Telecommunications, Spectrum Direct, Incorporated and Spectrum Retail, Incorporated Negotiated and managed more than 20 comprehensive, bi-lateral telecommunications agreements with foreign governments and their related communications authorities. Expanded the Company’s telecommunications network by establishing interconnection agreements with more than 200 US carriers including several major US and international carriers, including a $48-million retail carrier services agreement with Qwest Communications.
