Pharus advised Scerene Healthcare, Inc., on the sale of Puristics™, its natural skin care and feminine hygiene business, to Enaltus™. Pharus was engaged by Scerene to undertake a "dual-track" process of either an outright sale to a strategic investor, or a growth capital financing. Pharus identified multiple parties, which then were narrowed to a set of strategic buyers that could effectively leverage the Puristics™ brand in the competitive personal care marketplace. The transaction was structured as an asset sale with the transaction consideration composed of cash and earn-outs.
Dr. Orlow serves as a Senior Advisor to Pharus, focusing on the healthcare and consumer products sectors. He has over 25 years of experience in medicine, science, and finance. As a faculty member at New York University, Dr. Orlow rose to become Chair of the largest Dermatology department. In 1995 he co-founded Anaderm, a cosmeceutical discovery company backed by Pfizer and OSI Pharmaceuticals. He participated in the sale of Anaderm to Pfizer in 2002. From 2001-2010, he rose from Advisor to Partner with Easton Capital Partners, a venture capital firm focused on healthcare and consumer products.
Pharus was founded in 2001 by partners bringing a breadth of experience across banking, consulting, corporate development, private equity and operations. The idea was simple: to provide senior-level transaction advice to high-growth companies. The market reaction was very positive, as Pharus was seen to be filling-in the space created when many of the traditional growth-oriented investment banks were acquired by larger institutions throughout the late 1990’s.
Two Way Media, headquartered in London, UK, is an interactive production company focused on creating entertaining transactional television content in a multi-platform environment. It uniquely combines core technology and content capabilities for transactional TV production with strong distribution and client relationships. Two Way offers an entire suite of design-build-operate solutions for media companies.
Prior to joining Pharus, Mr. Bullock was an analyst with Seidman & Co., a New York appraisal and investment banking firm. While at Seidman & Co., Mr. Bullock was responsible for deriving and reporting corporate valuations in connection with tax, transaction and restructuring activities. He has worked with public and private entities across a variety of stages and industries, including: biotechnology, chemicals, education, entertainment, financial services, manufacturing, pharmaceuticals, and technology.
