Description

Jim Arkebauer (Ark-a-bower) has been an entrepreneur for over 40 years. His original manufacturing company evolved into a mini-conglomerate with equity interest in ten diverse companies. After successfully selling this first company, he took his second company public and his interests and the company were then acquired by ALCOA. He founded and sold several other firms including an advertising, public relations and marketing firm and then entered the securities business as a Registered Representative with an involvement in corporate finance.

- Venture Associates was founded in 1982 as a traditional venture capital firm with an emphasis on financing small public companies. It has evolved into an investment banking and management consulting firm with a focus on capital sourcing. Today, it retains capabilities in these areas with additional strengths in a broad range of management and emerging company consulting specializing in the consulting and preparation of Regulation D Private Placement Memorandums for companies seeking financing.

Technically, it doesn't matter. Personal credit is not disclosed unless there has been a bankruptcy filing in the past ten years. Even then, it is simply a note. That said, the more personal money that's been invested, the more stake the management team has in the deal, the more comfortable the prospective investors feels. And, less dilution can usually be justified. How long does the process take? There are two parts to this question: first, document preparation and second, raising the funds.

How successful are Reg D PPM programs? Our Private Placement program is successful and we have proven that for over 20 years. Our documents do what they are intended to do, provide you with liability disclosure protection for all prospective investors in the same manner. The real question is can you successfully raise the financing? Only you can answer that question. It will require a realistic analysis of the viability of your project. It requires that you present the prospective investor with a valid return on their investment.

I've dealt with initial public offerings (IPOs) and the process of taking companies public for over 20 years. Sometime ago, I began to see how the people involved found it difficult to comprehend all the various aspects and complexities of the process. This is especially true of entrepreneurs who are pressed for time and often don't know the correct questions to ask. I have been frustrated with many business book authors who have had little practical, first-hand experience in taking a company public.
