The materials and the Data Breach Preparedness Services (“DBPS”) contain general information regarding certain practices for handling sensitive information and helping to reduce the risk of a data breach. The materials and the DBPS are not meant to be authoritative or all-inclusive for any organization’s particular circumstances, and should not be acted upon without professional counsel. We are not engaged in rendering legal or other professional advice or services and these materials and the DBPS should not be used as a substitute for consultation with professional legal or other competent advisors. III. License Grant Subject to these Terms of Use, Kroll hereby grants to User an irrevocable, perpetual, worldwide, paid-up non-exclusive, non-transferable license, without the right of sub-license, to use, execute, reproduce, display, perform, and distribute only as expressly permitted herein (collectively, the “Uses”), the Services. The Uses of all Services, except for the Incident Response Plan as completed by User, shall be limited to User’s employees for User’s internal purposes only. The Uses of the Incident Response Plan as completed by User shall be limited to those employees, officers, directors, agents, subcontractors, vendors, and independent contractors of User to the extent required for or by User’s business needs. IV. Disclaimer of Warranties and Liability A. NOTHING IN THESE TERMS OF USE, INCLUDING ARTICLES IV AND V, SHALL EXCLUDE OR LIMIT OUR WARRANTY OR LIABILITY FOR LOSSES WHICH MAY NOT BE LAWFULLY EXCLUDED OR LIMITED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR CONDITIONS OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR LOSS OR DAMAGE CAUSED BY NEGLIGENCE, BREACH OF CONTRACT OR BREACH OF IMPLIED TERMS, OR INCIDENTAL OR CONSEQUENTIAL DAMAGES.
